About CSE OCS
ATB is a separate market for trading unlisted or de-listed securities or units of fund which are not listed with the main board. Through the OCS (Order Collection System), a web-based platform, Chittagong Stock Exchange PLC (CSE) will facilitate Sale and Redemption (repurchase) of units of open-end mutual fund in ATB platform of the Exchange for the first time in Bangladesh.
Investors will enjoy a transparent and trustworthy platform to invest in the robust open end mutual fund market in Bangladesh. With a single tap on the screen, investors can access any fund of their choice through the mobile apps of OCS. Moreover, investors can eventually accumulate their small investment in this market by using SIP (Systematic Investment Plan) feature of OCS. The ATB platform will not only reduce the hassle of counter-based transaction, but it will also develop a faster and liquid market for investment in open-end mutual fund.
The Asset Management Companies (AMCs) will experience a formal and transparent market place powered by the Exchange guaranteed settlement mechanism. By utilizing the OCS platform, AMCs will be capable of attracting more investors and achieve enhanced liquidity, visibility, credibility and marketability with an access to a global diverse pool of capital and investors. With balanced maintenance of regulatory requirements, AMCs will gain better image, branding and acceptance after listing with the ATB board of CSE. Through the inauguration of open-end mutual fund in ATB board, CSE expects to contribute towards tangible and meaningful progress in real economy of Bangladesh.

What is ATB?
Alternative Trading Board or ATB is a separate trading platform of CSE for trade/(sale and redemption) of unlisted or de-listed securities and units of fund registered under the securities and exchange commission.

What is open-end mutual fund?
Open-end funds are a unique form of mutual fund without fixed number of units and fixed maturity. Open ended MF allow investors to subscribe to (buy) or surrender (sell) their units at their will at a price close to Net Asset Value per share (NAV) of the fund on that particular day.

What form of open-end Mutual fund is allowed to trade (creation/redemption) in this OCS?
All the units will be in de-mat form.

What is SIP?
A Systematic Investment Plan (SIP), commonly referred to as SIP, is a facility offered by an AMC to prospective unit holders of its fund in a manner where an investor can invest a predetermined amount of money at a regular interval (such as monthly or quarterly) in their chosen open-end mutual fund scheme, rather than utilizing a full amount of investment.

What will be the trading days and session of Sale and Redemption (repurchase) of units of open-end mutual fund?
The trading days and session of Sale and Redemption (repurchase) of units of open-end mutual fund will be same as the regular trading days and session in equity market except the declared trading halt by the Exchange and AMCs during record date and any other decided period.

What is the settlement cycle of open-end mutual funds?
The trading and settlement of units of open-end mutual fund shall be executed in the manner as specified in Annexure - 3 under Schedule – A of Chittagong Stock Exchange (Alternative Trading Board) Regulations, 2022:

Activities against purchase of units:
Day Activities T+0 CSE Clearing House/CCBL will instruct to Buying stock broker for fund transfer (Step 1)
CSE Clearing House/CCBL will instruct the panel stock broker of Asset Manager for units transfer & panel stock broker will instruct the same to the Asset Manager (Step 2)
Asset Manager will instruct the Custodian for Demat set up (creation) (Step 3)
T+1 The Custodian will create Demat set up and the Asset Manager will accept Demat set up (Step 4)
Custodian will credit units to the clearing account of panel stock broker of Asset Manager (Step 5)
CSE Clearing House will instruct CDBL to ear-mark and CDBL will ear-mark the units in the clearing account of panel stock broker (Step 6)
Buying stock broker will make payment to CSE clearing house/CCBL (Step 7)
T+2 CSE will send pay-out file to CDBL & CDBL will transfer units to the clearing account of buying stock broker (Step 8)
Buying stock broker will transfer unit to Investor’s BO Account (Step 9)
CSE Clearing House/CCBL will transfer fund to the panel stock broker of Asset Manager & panel stock broker will transfer the same to the Asset Manager (Step 10)
Activities against surrender/re-purchase of units:

T+1 Payment of fund to CSE Clearing House/CCBL by panel stock broker of Asset Manager (Step 5)
T+2 CSE will send pay-out file to CDBL & CDBL will transfer units to the clearing account of panel stock broker of Asset Manager from the clearing account of selling stock broker (Step 6)
Panel stock broker of the Asset Manager will transfer units to the Custodian (Step 7)
Asset Manager will instruct custodian for Remat/Redemption set up (Step 8)
Custodian will create Remat/Redemption set up and Asset Manager will accept the Remat/Redemption set up (redemption) (Step 9)
CSE Clearing House/CCBL will send fund to the selling stock broker & selling stock broker will transfer fund to the Investor’s account (Step 10)

What is NAV?
NAV (Net Asset Value) is the difference between the total assets and total liability in a scheme.

Who will set the NAV? How frequently the NAV is updated?
The asset managers will update the NAV at cost and market value at least 30 (thirty) minutes before the start of every trading day at ATB. NAV shall also be displayed at the trading monitor.

Do the orders need to be matched as the main board? If not what will be the sale or repurchase price?
The OCS is simply a platform for placement of order. No matching is required for setting of prices. The orders will be fulfilled at the price as declared or quoted by the respective asset manager at least 30 (thirty) minutes before the start of every trading day at ATB. The quoted price of each unit can be maximum 15% higher or lower than the NAV per unit.

What will be the difference between sale and redemption value of units of open-end mutual fund?
As per rule 61 (3) of সিকিউরিটিজ ও এক্সচেঞ্জ কমিশন (মিউচুয়াল ফান্ড) বিধিমালা, ২০০১ [আগস্ট ২৪, ২০২১ পর্যন্ত হালনাগাদকৃত], the difference between selling value and surrender value of any unit of scheme shall not be more than 5% of selling price.

What is the maximum redemption size in a day?
Maximum redemption or repurchase size (number of units) for each trading day shall be set by the asset manager at least 30 minutes before the start of trading, which shall also be displayed at the trading monitor.

What are the eligibility criteria of listing an open-end mutual fund in ATB platform?
The Asset manager of an unlisted open-end mutual fund may avail the listing and facilities of sale or redemption (repurchase) of its units at ATB by fulfilling the following requirements:
✔ The fund shall be registered under the Securities and Exchange Commission (Mutual Fund) Rule, 2001;
✔ Units of open-end mutual fund shall be issued in dematerialized form; and
✔ The asset manager or trustee shall prepare its financial statements following the international financial reporting standards (IFRS) and audited the same following the international standards on auditing (ISA) as per the applicable rules.

What are the application Procedures for listing of open-end mutual funds?
Asset Manager shall make application in specified form with duly attested copies of required documents and application fee payment to the CSE.

What are the required documents needed to submitted during listing application?
Copy of consent letter approved by the commission, Copy of the certificate of incorporation, the certificate of commencement (If applicable), Registration Certificate of the asset management company or such other documents.

How much is the application fee for listing in ATB?

How many days can CSE take to make decision regarding listing or rejection after application?
The Exchange shall examine the application and make its decision regarding listing or rejection within 30 (thirty) days of receipt of such application. Otherwise, it shall issue a rejection letter, stating the reason(s) for such rejection, within 30 (thirty) days of receipt of the application.
